(1) These Terms and Conditions apply to all contracts between Schneider & Waldeck (hereinafter referred to as the “Provider”) and the customer (hereinafter referred to as the “Customer”) that are concluded via the Provider’s online store.
(2) Any terms and conditions of the customer that differ from these will not be recognized unless the provider expressly agrees to their validity in writing.
(3) These Terms and Conditions apply exclusively to business customers (§ 14 BGB).
(1) The presentation of products in the online store does not constitute a legally binding offer, but rather a non-binding invitation to place an order (invitatio ad offerendum).
(2) By placing an order, the customer makes a binding offer. The contract is not concluded until the order is confirmed or the goods are delivered.
(3) The text of the contract is stored by the provider and sent to the customer by email after the contract is concluded.
(1) All prices listed are net prices, plus applicable sales tax.
(2) Any additional delivery and shipping costs will be listed separately.
(3) We accept the following payment methods: bank transfer, invoice.
(4) In the event of late payment, the provider is entitled to charge late payment interest at a rate of 9 percentage points above the base rate (§ 288 BGB).
(1) Delivery will be made within a period to be agreed upon after receipt of payment.
(2) The delivery area includes: DACH (DE, AT, CH).
(3) The risk of accidental loss passes to the carrier upon delivery.
(4) Partial deliveries are permitted, provided this is reasonable for the customer.
There is no statutory right of withdrawal for contracts between businesses (B2B).
(1) The statutory warranty rights apply.
(2) The warranty period is 12 months from the date of delivery (as agreed in accordance with § 438 BGB).
(3) Obvious defects must be reported in writing within 7 business days of delivery (§ 377 HGB).
(1) The provider is fully liable for intentional acts and gross negligence.
(2) In cases of slight negligence, the provider shall be liable only for breaches of material contractual obligations (cardinal obligations), limited to foreseeable damages typical for this type of contract.
(3) The foregoing limitations of liability do not apply to damages resulting from injury to life, limb, or health, or to claims under the Product Liability Act.
(4) Partial deliveries are permitted, provided this is reasonable for the customer.
The processing of personal data is carried out in accordance with our Privacy Policy and in compliance with the GDPR and the BDSG.
(1) The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) The place of jurisdiction for all disputes is Frankfurt am Main, provided that the customer is a merchant.
(3) If any provision of these Terms and Conditions is invalid, the validity of the remaining provisions shall remain unaffected.
Schneider & Waldeck is neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board.
